1. Acceptance of Terms
By accessing or using FL Reception services you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms please do not use our services. These terms constitute a legally binding agreement between you and FL Reception.
2. Description of Services
FL Reception provides AI-powered receptionist services for local businesses using:
- Twilio — telephone infrastructure for call handling and SMS delivery
- Vapi — AI voice technology for answering and handling inbound calls
- Cal.com — appointment booking and calendar integration
- Airtable — lead tracking, data storage, and performance reporting
- Make (Integromat) — workflow automation
- Lovable — client portal and website hosting
Services include missed call detection and SMS text-back, AI voice receptionist, appointment booking, lead tracking, client portal access, appointment reminders, and monthly performance reporting.
3. Account Registration
- You must be at least 18 years old to use our services
- You must be authorized to enter into contracts on behalf of your business
- You are responsible for maintaining the confidentiality of your portal login credentials
- You agree to provide accurate and complete information and keep it updated
- One portal account per client business unless otherwise agreed in writing
4. Acceptable Use
You agree NOT to use FL Reception services to:
- Contact individuals who have opted out of automated SMS communications
- Send messages that are illegal, harassing, threatening, or fraudulent
- Violate the Telephone Consumer Protection Act or any applicable law
- Impersonate another business or person
- Transmit malware or engage in any activity that disrupts our services
- Resell or sublicense our services without written permission
5. Payment Terms
5.1 Fees
Services are billed monthly in advance. A one-time setup fee is due prior to service activation. All fees are stated in US Dollars and are exclusive of applicable taxes.
5.2 Automatic Billing
Monthly fees are automatically charged via Stripe on the same date each month. By providing payment information you authorize FL Reception to charge your payment method on a recurring basis.
5.3 Failed Payments
A 7-day grace period applies to failed payments. Services may be suspended after 7 days of non-payment. A $25 reactivation fee applies. Accounts unpaid after 30 days may be terminated.
5.4 Price Changes
FL Reception may update pricing with 30 days written notice by email.
5.5 Refunds
Setup fees are non-refundable once onboarding has begun. Monthly fees are non-refundable for the current billing period.
6. Cancellation
- Either party may cancel with 30 days written notice by email to hello@flreception.com
- Cancellation takes effect at the end of the current billing period
- No refunds are issued for partial months
- The assigned Twilio phone number will be released 30 days after cancellation
- Client data will be available for export for 30 days after cancellation then permanently deleted
7. Service Availability and Third-Party Dependencies
FL Reception's services depend on third-party providers including Twilio, Vapi, Cal.com, Airtable, and Make. We are not liable for service interruptions caused by outages, errors, pricing changes, or policy changes made by these providers.
8. Call Recording and AI Disclosure
Our AI receptionist is programmed to disclose at the start of each call that the call may be recorded. You are responsible for ensuring this disclosure is legally sufficient for your jurisdiction and business type.
9. Client Responsibilities
- Configure your business phone to forward missed calls to your assigned Twilio number
- Ensure your customers have not opted out of automated communications before they call
- Comply with all applicable laws including TCPA, CAN-SPAM, and state telemarketing laws
- Provide and maintain accurate business information in the client portal
- Not share portal login credentials with unauthorized parties
- Promptly notify FL Reception of any legal complaints or regulatory inquiries
10. No Guarantee of Results
FL Reception does not guarantee specific business outcomes including number of leads captured, appointments booked, revenue generated, or business growth. See our Results Disclaimer for full details.
11. Intellectual Property
- FL Reception retains all rights to our AI systems, automation workflows, prompts, platform architecture, and proprietary methods
- Client business data and customer information belongs to the client
- Neither party may use the other's trademarks, logos, or brand materials without prior written permission
- FL Reception may reference client as a customer for marketing purposes unless client opts out in writing
12. Confidentiality
FL Reception agrees to keep client business information confidential and not disclose it to third parties except as necessary to deliver services through our approved technology stack (Twilio, Vapi, Cal.com, Airtable, Make, Lovable).
13. Limitation of Liability
To the maximum extent permitted by applicable law FL Reception's total liability for any claim shall not exceed fees paid in the 3 months preceding the claim. FL Reception is not liable for indirect, incidental, special, punitive, or consequential damages including lost profits, lost revenue, or business interruption.
14. Indemnification
You agree to indemnify, defend, and hold harmless FL Reception and its officers, employees, and agents from claims, damages, losses, and expenses (including legal fees) arising from your use of our services, violation of these terms, violation of any law, or infringement of third-party rights.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Hillsborough County, Florida.
16. Severability
If any provision of these Terms is found unenforceable the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms together with our Privacy Policy and any signed Client Service Agreement constitute the entire agreement between you and FL Reception regarding our services.
